The members do not receive payments from the association. (4) No person may be favored by expenses that are alien to the purpose of the association or by disproportionately high remuneration. §4 Membership and sponsoring membership (1) Members and sponsoring members of the association can become adult natural and legal persons as well as partnerships. (2) Membership and supporting membership are acquired by means of a written application to the Board of Directors, which decides on admission. If the application for membership is rejected, the applicant for membership can appeal to the general meeting of the association, which will then make a final decision on admission. A prerequisite for sponsoring membership is the payment of the membership fee. (3) Ordinary members are actively committed to the goals of the association, they support them through their work and through regular financial contributions in accordance with the contribution regulations. Supporting members have no voting, election or application rights, but otherwise have the same rights as full members. § 5 Expiration of membership (1) Membership expires through death, cessation of legal personality, resignation or exclusion from the association. (2) The resignation takes place by means of a written declaration to the board. The resignation can only be declared at the end of a calendar year, whereby a period of notice of three months to the end of the year must be observed. (3) A member can be expelled from the Association by the Board of Directors, which has to take the relevant decision, if the member... a. has not paid an annual fee despite a written reminder with a deadline of at least four weeks; b. has damaged the association or otherwise seriously violated its interests; c. realizes another important reason in his person. (4) Before the decision on the exclusion is made, the member to be excluded is to be given the opportunity to comment. The exclusion decision must be made in writing and justified and sent to the member. The member to be excluded can appeal against the exclusion at the next upcoming general meeting, which will decide on the final exclusion. In this case, the membership rights of the member to be excluded are suspended until the decision of the general assembly. § 6 Members' Contributions (1) The members have to pay an annual contribution, the amount of which is left to each member's self-assessment, but which may not be below the minimum contribution to be determined by the general assembly. The minimum contributions for members and sponsoring members can be set at different levels. (2) For the year of joining the association, the full annual fee is to be paid if joining in the first quarter, 3/4 if joining in the second quarter, 1/2 if joining in the third quarter and 1⁄4 if joining in the last quarter Quarter. The Board of Directors is responsible for determining the due date and method of payment of the contribution. In justified individual cases, the Executive Board can determine that the contribution is made in a form other than monetary payment or that contributions are deferred. § 7 Organs of the association (1) The organs of the association are the board and the general assembly. § 8 Board of Directors (1) The Board of Directors consists of at least 3 members of the association, of which a maximum of one person can be an employee of the association. If a board member resigns prematurely, a by-election can take place at a general meeting. Until then, the Executive Board consists of the remaining members. Fiete Rohde and Frank Weber are always entitled, individually or jointly, to attend board meetings in an advisory capacity, regardless of what function they otherwise hold. (2) The association is represented in and out of court individually by each board member. Internally, it is determined that the 2nd and 3rd chairpersons should only make use of their right of representation if the 1st chairperson or the first and second chairpersons are unable to attend. (3) The board of directors is elected by the general meeting for a period of two years, starting from the election. He remains in office until a new Board of Directors is elected. If a member of the Executive Board resigns during the term of office, the remaining Executive Board members can nominate a substitute member for the remaining term of office of the person who has left. (4) The executive board is responsible for all affairs of the association, as far as they are not assigned to another organ of the association by the statutes or mandatory legal regulations. A board resolution can be passed in writing if all board members declare their consent to the regulation to be resolved. Minutes must be kept of the resolutions of the Executive Board, which must be signed by the person chairing the meeting. § 9 General Assembly (1) The General Assembly is the supreme body of the association. In the General Assembly, each member has one vote. Another member of the association can be authorized to exercise voting rights. The authorization is to be granted separately for each general assembly. However, a member may not represent more than three foreign votes. (2) The General Assembly is responsible for the following tasks: a. receiving and approving the annual report of the Board of Directors; b. Discharge of the board and the auditors; c. Election and dismissal of the members of the board and the cash auditors; i.e. Determination of the amount of the annual contributions, in particular the minimum contribution; e. Resolution on the complaint against the rejection of an application for admission and the appeal against an exclusion decision by the board; f. Passing resolutions on fundamental decisions for the funding policy of the association. (3) The General Assembly takes place at least once a year. The General Assembly is convened by the first chairman or, if he is unable to do so, by the second chairman. The convocation must be made in text form at least two weeks before the day of the meeting, stating the agenda. The period begins on the day following the dispatch of the convocation. An extraordinary general meeting must be convened if one fifth of the members submit a written request to the board, stating the reasons. (4) No later than one week before the date of the General Assembly, each member can apply in writing to the Executive Board to add further matters to the agenda, but not to change the Articles of Association. The agenda is to be supplemented accordingly at the beginning of the general meeting by the chairman of the meeting. The general meeting decides on applications for additions to the agenda that are only made in the general meeting. A majority of three quarters of the valid votes cast is required to accept the motion. (5) Every properly invited general meeting has a quorum. The General Assembly passes resolutions with a simple majority of the votes cast, provided no deviating majorities are prescribed by law or these articles of association. Abstentions are counted as non-appearing votes. In the event of a tie, the vote of the chairman of the meeting is decisive. In elections, in the event of a tie, the lot decides. The mode of voting is determined by the chairman of the meeting. Elections must be voted on in writing and secretly, unless the General Assembly decides on a different type of vote. (6) Minutes are to be drawn up for each general meeting, which are to be signed by the respective chairman of the meeting and the recording clerk. § 10 Fiscal Year, Auditors (1) The fiscal year is the calendar year. (2) The association's cash register is checked every year by one or more cash auditors elected by the general assembly. The cash auditors check whether the use of the association's funds corresponded to the budget estimates and whether the association's bookkeeping was carried out properly. The cash auditors have to report on this to the general assembly. § 11 Amendments to the statutes, loss of assets in the event of dissolution (1) A planned amendment to the statutes must be announced as an item on the agenda in the invitation to the general assembly. The dissolution of the association can only be decided in a general assembly convened specifically with this agenda. Resolutions on changes to the statutes or the dissolution of the association require a majority of three quarters of the valid votes cast. (2) Changes or additions to the statutes, which are prescribed by the responsible registration authority or the tax office, are implemented by the board and do not require a resolution by the general meeting. They are to be communicated to the members at the latest with the invitation to the next general meeting. (3) In the event of dissolution or annulment of the association or the cessation of tax-privileged purposes, the assets of the association shall pass to a legal entity under public law or another tax-privileged corporation for the purpose of promoting culture.
